Artwork & Licensing Terms & Conditions

These Terms and Conditions govern the licensing of pattern designs ("Artwork") from the Sarah Field Art Pattern Library ("Pattern Library"). By proceeding with any purchase or pattern license, you confirm that you have read, understood, and agreed to these terms.
Please read all of the information below carefully before purchasing.
1. Parties Involved
This Agreement is between Sarah Field Art ABN: 67 574 043 071 ("Licensor," "we," "us," or "our") and you, the individual or business entity purchasing a pattern license ("Licensee," "you," or "your").
2. What Is the Pattern Library?
The Pattern Library is a curated collection of original hand-crafted patterns, transformed into high-resolution digital files suitable for digital printing. Each pattern is provided as a seamless repeat and may be applied to a wide range of products and textiles, including but not limited to stationery, fashion, and homewares.
3. What You Are Purchasing
By purchasing from the Pattern Library, you are acquiring a limited licence to use the selected Artwork in accordance with these Terms. You are not purchasing:
• The copyright or ownership of the Artwork.
• Any proprietary interest or assignment in the Artwork.
• The right to claim the Artwork as your own design.
Sarah Field Art is and will remain the absolute owner of all right, title, and interest in the Artwork, including copyright, protected under Australian and international law.
4. Purchase & Agreement Process
The following steps apply to all pattern licenses:
Payment via the website or other agreed method constitutes an offer to license the selected Artwork.
After purchase, the Licensee will receive a usage form via email requesting details including: Business name, website and social media handles, intended products or applications for the Artwork.
The Licensee must complete and return this form before the Licensing Agreement is generated. Failure to provide this information may delay or prevent license approval.
You will then receive a Licensing Agreement by email.
You must complete and return the Licensing Agreement.
The license is only confirmed once the signed Licensing Agreement has been returned to us.
Upon confirmation of the signed Agreement, the high-resolution Artwork file/s will be delivered to you via a private Dropbox link.
We reserve the right to decline any order at our sole discretion. If we are unable to fulfil your order, you will receive a full refund.
5. Licence Types
We offer the following licence types. The specific type, term, and conditions will be confirmed in your Licensing Agreement.
5.1 Non-Exclusive Licence
A Non-Exclusive Licence permits you to use the Artwork for your business purposes; however, Sarah Field Art may license the same Artwork to other buyers.
5.2 Exclusive Licence
An Exclusive Licence grants you sole use of the Artwork for the agreed term. During this period, Sarah Field Art will not license the same Artwork to any other party. However, we retain the right to use the Artwork for marketing, portfolio, and promotional purposes during the licence term.
5.3 Time-Limited Licence
A Time-Limited Licence grants you the right to use the Artwork for a fixed period as specified in your Licensing Agreement. At the expiration of the term, all rights revert to Sarah Field Art and you must cease use of the Artwork unless a renewal is agreed in writing.
6. Licence Conditions
Your licence is subject to the following conditions:
Commencement Date: Your licence begins on the date you receive the Dropbox link to your high-resolution Artwork files.
Territory: Your licence can be used worldwide unless otherwise agreed in writing.
Uses: Your licence permits commercial use of the Artwork for your business purposes as specified in the Licensing Agreement.
Attribution: Attribution is optional. If you choose to credit the work, please use the format “© Sarah Field Design Collection” with a link to our design website (www.patternandhome.com.au) or social media @patternandhome_au
Sublicensing: Sublicensing is only permitted where strictly necessary to fulfil the purpose of your licence (for example, engaging a manufacturer or printer). In all other circumstances, sublicensing is not permitted.
7. Licence Renewal & Extension
You may choose to renew or extend your licence upon or before its expiration. Any renewal or extension is subject to new fees and terms as agreed in writing between both parties.
8. Restrictions on Use
You must not:
Resell, sublicense, or redistribute the Artwork in its original or derivative form beyond what is permitted in these Terms.
Claim ownership of the Artwork or represent it as your own design.
Copy, share, reproduce, or communicate the Artwork outside the scope of your licence.
Use the Artwork in any way that violates Australian or international copyright or intellectual property law.
Purchase Artwork from the Pattern Library for the purpose of on-selling the Artwork itself.
If we become aware of any breach of these restrictions, we reserve the right to immediately terminate your licence and take whatever action we deem necessary.
9. Intellectual Property Rights
All intellectual property rights in the Artwork, the Pattern Library, and any associated materials vest in and remain with Sarah Field Art. Your licence does not restrict our right to use the Artwork for marketing, advertising, portfolio, or promotional purposes at any time.
You consent to Sarah Field Art using your business name, logo, or other identifying material to indicate your use of our Artwork on our websites and social media platforms.
10. File Delivery
Upon confirmation of your signed Licensing Agreement and receipt of full payment, we will deliver your Artwork files via a private Dropbox link. Delivered files may include:
High-resolution JPEG or PDF files
Seamless repeat tile formats
Mockup images (where applicable)
RGB files (CMYK available upon request)
Other formats such as PNG, TIFF, or PSD (subject to availability upon request)
You are responsible for maintaining the security of your Dropbox link and ensuring all access to and use of the Artwork files complies with these Terms.
11. Payment
All prices are quoted in Australian Dollars (AUD). Full payment is required before any final Artwork files are delivered. We reserve the right to change prices at any time; however, the price agreed at the time of your order will apply to that order.
12. Refunds & Cancellations
Please read our refund and cancellation policy carefully:
You may cancel a pending order (before the Licensing Agreement has been signed) and receive a full refund by contacting us at sarah@sarahfieldart.com
Once the Licensing Agreement has been signed and returned, no cancellations or refunds are available, except as required under the Australian Consumer Law.
If there is a minor issue with a Print Design we may replace the print design instead of offering a refund (in accordance with the Australian Consumer Law).
If you are a consumer under the Australian Consumer Law, that law applies to the extent it is inconsistent with these Terms.
13. Termination
If you breach any of these Terms, your licence will be terminated immediately without notice. Upon termination, you must immediately cease all use of the Artwork and delete all copies from your systems.
14. Warranties
Sarah Field Art warrants that the Artwork delivered will:
Match the description on the Pattern Library listing.
Be free from third-party claims at the time of delivery.
Not infringe the intellectual property rights of any third party.
All other warranties, representations, or guarantees regarding the suitability of the Artwork for your specific purposes are excluded to the fullest extent permitted by law. Nothing in this clause limits your rights under the Australian Consumer Law.
15. Disclaimer
Artwork images on the Pattern Library website are displayed as low-resolution watermarked previews for illustration purposes only.
Colours and textures may appear differently when printed depending on your device settings, production method, printer, or materials used.
Sarah Field Art makes no guarantee as to how the Artwork will appear once applied to your specific products or manufacturing processes.
You are solely responsible for the final application, printing, and production of the Artwork.
Sarah Field Art and the Licensee operate as independent businesses. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
16. Limitation of Liability
To the fullest extent permitted by law, Sarah Field Art's aggregate liability for any claim arising out of or in connection with these Terms or your use of the Artwork shall not exceed the total licence fees paid by you for the Artwork giving rise to the claim.
We will not be liable for any special, indirect, consequential, or punitive damages, including but not limited to loss of profit, loss of business opportunity, or loss of goodwill, even if we have been advised of the possibility of such damages.
We shall not be liable for any delay in performance of our obligations caused by circumstances beyond our reasonable control.
17. Indemnity
You agree to indemnify and hold harmless Sarah Field Art from any claims, losses, damages, or expenses that arise from your use of the Artwork in breach of these Terms or any applicable law.
18. Privacy
Any personal information you provide to us will be used solely for the purposes of processing your order and managing your licence.
We respect your privacy rights and will not sell or rent your email address to other companies. If you would like to be removed from our email list you can do so by unsubscribing at the bottom of the emails sent to you.
19. Amendments
We may update these Terms from time to time. Any changes will only apply to new orders placed after the date the updated Terms take effect. Any amendments to an individual Licensing Agreement must be made in writing and signed by both parties.
20. Use of This Website
When you access the Pattern Library website, we grant you a limited, non-exclusive, personal, non-transferable, non-shareable, revocable licence to access and use the website for your individual purposes in accordance with these Terms.
20.1 Permitted Use
You may access the website on any personal device including a mobile phone, tablet, laptop, or desktop computer. Your access is for your individual use only.
20.2 Prohibited Conduct
When using this website, you must not:
Modify, add to, remove, hack, deface, or otherwise interfere with the website or any content posted on it.
Reverse engineer, decompile, extract, or create derivative works from the website.
Evade or attempt to circumvent any security feature or functionality of the website.
Permit any third party to access or use the website using your account credentials.
Use any code, bot, script, or application that interferes with the working of the website.
Use any data mining robots, web scrapers, or other automated extraction tools.
Use metatags or mirror the website or any part of it.
On-sell or commercially exploit any information obtained from the website without our written permission.
Use the website in any manner contrary to any Australian or international law.
Provide false or misleading information when registering or placing an order.
20.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must ensure that any personal information you provide, including your name, email address, and business details, is accurate and up to date. We are not responsible for any loss or damage arising from your failure to maintain the security of your account.
20.4 Website Availability
We endeavour to keep the website available at all times, but we do not guarantee uninterrupted access. Scheduled or unscheduled downtime may occur from time to time and we will not be held liable for any consequences of website unavailability.
20.5 Third-Party Links
The website may contain links to third-party websites. Unless expressly stated otherwise, we do not control, endorse, or approve those websites or their content, and we are not liable for any loss or damage that may arise from your use of them.
20.6 Security & Viruses
You are responsible for taking your own precautions to ensure that your device and systems are protected against viruses, malicious code, or other harmful interference that may arise from your use of this website. We take no responsibility for any damage to your device or systems in connection with your use of the website.
21. General
These Terms are governed by the laws of the State of Queensland, Australia.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed or read down to the minimum extent necessary, and the remaining provisions will continue in full force.
Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that provision in the future.
In the event of a merger, sale, or change of control of our business, we reserve the right to transfer, assign, or sublicense the rights in any personal information or user content you have provided to us, and you consent to such transfer.
